These User Terms ("Terms") govern your use of NoteOnly, an app provided by 72mn LLC ("72mn," "we," "us," or "our"). By downloading, accessing, or using NoteOnly, you agree to these Terms.

1. Who May Use NoteOnly

You may use NoteOnly only if you can form a binding contract with us and are allowed to use the app under applicable law. NoteOnly is not directed to children under 13. If you are under the age of majority where you live, you may use NoteOnly only with permission from a parent or legal guardian.

You may not use NoteOnly if you are prohibited from receiving the app under the laws of the United States or any other applicable jurisdiction.

2. What NoteOnly Is

NoteOnly is a personal note-taking, capture, transcription, reminder, and writing-assistance app. It may help you create, organize, transcribe, clean up, summarize, search, and export notes and related content.

NoteOnly is not an emergency service, backup service, medical service, legal service, financial service, professional advisory service, regulated decision-making service, or system of record for critical information. You are responsible for reviewing, backing up, exporting, and verifying content that matters to you.

Unless a feature clearly says otherwise, NoteOnly does not provide group collaboration features and does not store your notes, recordings, transcripts, or memos as a permanent server-side note database. Some features may still use Apple iCloud, app servers, and/or third-party providers for sync, subscriptions, AI processing, transcription, diagnostics, or temporary job processing.

3. Accounts and Access

NoteOnly's core note-taking experience currently does not require a NoteOnly account or login. Future or optional features may require Sign in with Apple, an active subscription, a purchase, credits, or network access. You are responsible for keeping your device, Apple ID, account credentials, and recovery methods secure.

If we provide account features, you agree to provide accurate information and to notify us if you believe your account has been compromised. We may suspend or restrict access if we believe your account or use of NoteOnly violates these Terms, creates risk, or may harm the service or other people.

4. App License

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use NoteOnly for your personal or internal business purposes on Apple-branded devices that you own or control, as permitted by Apple’s Usage Rules.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, interfere with, or attempt to extract source code from NoteOnly except where applicable law gives you a right that cannot be waived.

If NoteOnly is downloaded from the Apple App Store, Apple’s standard licensed application end user license agreement may also apply. These Terms are between you and 72mn LLC, not Apple, except where Apple-specific terms below apply.

5. Your Content

You retain ownership of notes, recordings, transcripts, attachments, prompts, instructions, and other content you create, import, submit, or store in NoteOnly ("User Content").

You grant us a limited license to host, process, transmit, display, modify, format, transcribe, summarize, generate, back up, troubleshoot, and otherwise use User Content only as needed to provide, secure, support, and improve NoteOnly; comply with law; and enforce these Terms. Improving NoteOnly does not include training AI models on your User Content.

You are responsible for your User Content and for making sure you have the rights needed to use it in NoteOnly. Do not upload, record, or process content if doing so would violate another person’s rights, privacy, contract, policy, or applicable law.

6. AI, Transcription, and Generated Output

NoteOnly may include transcription, cleanup, summarization, extraction, rewriting, formatting, or other AI-assisted features. These features may be inaccurate, incomplete, delayed, unavailable, offensive, or unsuitable for your intended use.

You are responsible for reviewing and verifying transcripts, summaries, generated text, extracted items, suggested titles, reminders, and other outputs before relying on them. Do not use NoteOnly output as the sole basis for legal, medical, financial, employment, housing, education, insurance, safety, or other significant decisions.

AI-generated output may not be unique. Similar or identical output may be generated for other users. We do not guarantee that output is accurate, complete, protectable, non-infringing, or suitable for publication or commercial use.

When a feature uses third-party AI, transcription, infrastructure, or speech providers, those providers may process content as needed to provide the feature. Their own terms and privacy practices may apply.

7. Acceptable Use

You may not use NoteOnly to:

• violate any law, regulation, contract, privacy right, publicity right, intellectual property right, or other right;
• create, store, process, or distribute illegal, harmful, deceptive, defamatory, harassing, hateful, abusive, exploitative, or invasive content;
• create, store, process, or distribute sexual content involving minors or content that exploits or harms children;
• threaten, plan, encourage, or facilitate violence, self-harm, abuse, or illegal activity;
• impersonate another person or misrepresent your identity, authority, affiliation, or content source;
• record or transcribe people unlawfully or without required consent;
• upload malware, phishing content, spam, or content designed to interfere with systems or security;
• probe, scan, attack, overload, scrape, bypass, or interfere with NoteOnly or related systems;
• evade subscription, payment, rate, storage, security, eligibility, or access controls;
• use NoteOnly to build or train a competing service in a way that violates these Terms or applicable law.

8. Subscriptions, Purchases, and Paid Features

NoteOnly may offer free features, paid features, auto-renewable subscriptions, one-time purchases, trials, credits, usage limits, or feature limits. The exact benefits, price, billing period, trial terms, and renewal terms will be shown in the app or App Store purchase flow.

If you purchase through Apple, billing is handled by Apple. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. You can manage or cancel subscriptions through your Apple account settings. Refunds are handled by Apple under Apple’s policies.

Paid features may depend on network availability, provider availability, fair-use limits, abuse-prevention limits, technical limits, and regional availability. We may change, add, remove, suspend, or discontinue features, subject to applicable law and any commitments made at the time of purchase.

Do not rely on marketing words such as "unlimited" unless the purchase screen specifically says a feature is unlimited and explains any applicable limits.

9. Third-Party Services

NoteOnly may depend on third-party services, including Apple services, hosting providers, AI providers, transcription providers, diagnostics tools, analytics tools, payment systems, and customer support tools. We are not responsible for third-party services we do not control.

Third-party services may be unavailable, change, impose limits, or require their own terms. NoteOnly may not work as expected if third-party services, network access, device permissions, Apple services, iCloud, or App Store systems are unavailable.

10. Privacy

Our Privacy Policy explains how we handle information. By using NoteOnly, you acknowledge that we may process information as described in the Privacy Policy.

11. Feedback

If you send us ideas, suggestions, bug reports, or other feedback, you grant us permission to use that feedback without restriction or compensation to you.

12. Changes to NoteOnly or These Terms

We may update, modify, suspend, or discontinue NoteOnly or any feature from time to time. We may update these Terms by posting a new version and updating the "Last updated" date. If changes are material, we may provide additional notice as appropriate.

Your continued use of NoteOnly after updated Terms become effective means you accept the updated Terms.

13. Termination

You may stop using NoteOnly at any time. We may suspend or terminate your access to NoteOnly if you violate these Terms, create risk, misuse the service, fail to pay amounts owed, or if continued access would be unlawful or harmful.

Termination does not automatically delete local content from your devices, iCloud copies, exported files, backups, Apple-controlled records, or records we must retain for legal, tax, security, billing, dispute-resolution, or operational reasons.

14. Disclaimers

NoteOnly is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

We do not guarantee that NoteOnly will be uninterrupted, secure, error-free, loss-free, compatible with every device or region, or that AI, transcription, search, sync, reminder, export, or generated-output features will be accurate or complete.

15. Limitation of Liability

To the fullest extent permitted by law, 72mn LLC and its owners, officers, employees, contractors, agents, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, loss of content, loss of goodwill, business interruption, substitute services, or device issues arising from or related to NoteOnly or these Terms.

To the fullest extent permitted by law, our total liability for all claims related to NoteOnly or these Terms will be limited to the greater of the amount you paid to us for NoteOnly in the 12 months before the event giving rise to the claim or USD $100.

Some jurisdictions do not allow certain disclaimers or limits, so some of the above may not apply to you.

16. Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless 72mn LLC and its owners, officers, employees, contractors, agents, affiliates, and service providers from claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from or related to your User Content, your use of NoteOnly, your violation of these Terms, or your violation of law or another person’s rights.

17. Export, Sanctions, and Compliance

You may not use, export, re-export, import, sell, or transfer NoteOnly except as authorized by United States law and the laws of the jurisdiction where you use NoteOnly. You represent that you are not located in a country or region subject to applicable embargoes and are not listed on any prohibited or restricted party list.

18. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules, except where local law gives you rights that cannot be waived.

19. Apple-Specific Terms

If you downloaded NoteOnly from the Apple App Store:

• these Terms are between you and 72mn LLC, not Apple;
• Apple is not responsible for NoteOnly or its content;
• Apple has no obligation to provide maintenance or support for NoteOnly;
• if NoteOnly fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, as required by Apple’s policies;
• Apple is not responsible for claims by you or third parties relating to NoteOnly, including product liability claims, legal compliance claims, consumer protection claims, privacy claims, or intellectual property claims;
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.
